Big Win for Small Businesses: BOI Report Shot Down by Texas Court
As a small business owner, you have likely seen advertisements or mailers regarding the upcoming Beneficial Ownership Information (BOI) Report requirement. Here is the good news: on December 3, 2024, a Texas federal court ruled the Corporate Transparency Act (CTA) unconstitutional. The CTA would have required businesses to file BOI Reports, disclosing sensitive personal and financial information to the federal government regardless of any actual suspicion of wrongdoing. Thanks to the court’s temporary injunction, the January 2025 deadline for most businesses to file these reports has been delayed – at least for now.
This ruling provides small business owners with a much-needed reprieve from unnecessary administrative burdens. While the BOI Report may not appear to be a significant issue, the CTA would have granted the government broad authority to regulate businesses. As the Texas court noted, under the CTA, “… Congress could regulate any company, in any way, all the time”
